Lunch (or snacks for evening events) will be provided for most MCLE programs. Registration begins 30 minutes prior to program start time, and events are held at the ACBA office, at 1000 Broadway, Suite 480, in Oakland, unless stated otherwise. Please note: there will be a $10 administrative fee if you cannot make the program, and do not cancel in advance. A $10 fee will also be assessed for day-of and walk-in registrations.

Selling an S Corporation – How to Choose the Right Structure

There are multiple tax structures available for the sale of an S corporation.  Beyond the normal choices of a stock sale or an asset sale, the seller and buyer can agree to use a hybrid structure in which a sale of corporate equity is treated, for tax purposes, as a sale of corporate assets, thereby permitting the buyer to claim a stepped-up tax basis in depreciable operating assets.  This seminar will explain Section 338(h)(10) elections and their close cousins, Section 336(e) elections.  It will also discuss the “F reorg/LLC conversion” structure that has become popular in recent years.

The Law of Bias and Discrimination in Employment

Learn about the basics of employment discrimination law from two experienced employment attorneys. Ms. Krasilnikoff is an experienced Plaintiff-side employment attorney who represents clients in claims of retaliation, harassment, discrimination and other employment claims. Mr. Fong advises employers on compliance with employment law and represents employers in litigation matters brought by employees and former employees. These presenters will provide their unique perspectives on employment discrimination laws that affect employers and employees in California.

Assisting Low Income Landlords in Unlawful Detainer Actions

Please join the Volunteer Legal Services Corporation for this two-part training on how to handle an unlawful detainer action from client intake through trial. Topics include: termination of tenancy notices in Alameda County jurisdictions and the process of basic unlawful detainer actions from start to finish. VLSC administers a weekly clinic in Hayward to assist low-income landlords with non-payment of rent eviction matters. Our low-income landlord clients are generally elderly individuals or those relying on rental income to remain housed themselves. All VLSC clients are screened for income eligibility.
